Terms of Service

1. AGREEMENT TO TERMS
Welcome to Umato. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Zengroq LLC, an Illinois limited liability company ("Umato," "we," "us," or "our"), governing your access to and use of the Umato platform, including our website, mobile applications, APIs, integrations, partner services, beta features, and any related services provided now or in the future (collectively, the "Service").
By accessing, registering for, or using the Service in any manner, including browsing, submitting Content, or interacting with other Users, you acknowledge and agree that you have read, understood, and consent to be bound by these Terms. If you do not agree, you may not access or use the Service in any capacity.
2. DEFINITIONS
- Company: Zengroq LLC, registered in Illinois, owner and operator of Umato.
- Service: All functionalities, features, APIs, data, software, content, recommendations, models, datasets, and algorithms provided by Umato.
- User: Any individual or entity accessing or using the Service.
- Account: A registered profile used to access certain features of the Service.
- Content: Text, images, photos, ratings, taste preferences, dining experiences, metadata, or any other data submitted by Users.
- Your Content: Content submitted or made available by you via the Service.
- User Content: All Content submitted by Users collectively.
- Umato Content: Content, software, models, data, or materials created or provided by Umato.
- Service Content: All Content accessible via the Service, including User Content, Umato Content, and publicly available business information.
- Derived Assets: Any datasets, models, analyses, embeddings, rankings, insights, or derivative works generated by Umato from User Content, Service Content, or publicly available information. Derived Assets expressly exclude any ownership, reversionary, or attribution rights by Users, regardless of the degree to which User Content contributed to such assets.
- Restricted Activity: Any activity prohibited under these Terms, including scraping, data mining, automated access, or competitive use.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
- Age Requirement: Users must be at least 13 years old or 16 in the European Economic Area (EEA).
- Account Information: Users must provide accurate, complete, and up-to-date registration information and agree to maintain the confidentiality of account credentials.
- Account Responsibility: You are responsible for all activity occurring under your Account, whether or not authorized by you.
- Security Notification: You must notify Umato immediately of any unauthorized use of your Account or security breaches.
- Legal Compliance: Use of the Service must comply with all applicable laws, regulations, and rules.
- Account Termination: Accounts may be restricted or terminated for false information, unauthorized use, or noncompliance with these Terms.
4. USER CONTENT AND PLATFORM LICENSE
- Ownership: You retain all ownership rights in Your Content.
- License Grant: By submitting, posting, or otherwise making Content available through the Service, you grant Umato a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, sublicensable, transferable license, including through technologies and media now known or later developed, to:
- Use, host, store, cache, reproduce, modify, adapt, translate, aggregate, analyze, and create derivative works from Your Content;
- Display, perform, distribute, and make Your Content available to Users and third parties;
- Incorporate Your Content into algorithms, machine learning models, analytics, datasets, or recommendation systems.
- License Scope: This license allows Umato to:
- Reproduce, distribute, modify, adapt, aggregate, analyze, and create derivative works from Your Content;
- Use Content in algorithms, models, datasets, rankings, insights, or analytics;
- Promote, publish, or otherwise utilize Content in connection with the Service or related offerings.
- Survival: The license survives termination of your Account and binds your successors, assigns, and legal representatives.
- User Representations and Warranties: You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to submit Your Content;
- Your Content does not infringe, misappropriate, or violate any intellectual property, privacy, publicity, or other rights of any third party;
- Your Content complies with all applicable laws and regulations.
- Moral Rights Waiver: To the fullest extent permitted by law, you waive any moral rights or similar rights in Your Content, including rights of attribution and integrity.
Ownership Clarification: Any aggregation, anonymization, or transformation of User Content into datasets, models, embeddings, analyses, or other derivative assets is the exclusive property of Umato. Users are not granted any rights or ownership over such derived materials.
5. ENTITY NORMALIZATION AND LISTING MANAGEMENT
Canonical Listings
The Service maintains structured, authoritative, or canonical listings for restaurants, dishes, menu items, and related entities ("Listings"). Listings may be created by Umato, derived from publicly available information, generated algorithmically, or informed by User Content.
Review, Standardization, and Merging
Umato may, in its sole discretion:
- Edit, standardize, or reformat Listings;
- Correct naming conventions, spelling, categorization, or metadata;
- Consolidate duplicate or substantially similar Listings;
- Merge multiple Listings into a single canonical Listing;
- Associate, reassign, or transfer ratings, reviews, or interactions to a canonical Listing;
- Remove redundant or low-quality Listings.
User-submitted Listings may be merged into existing canonical Listings without notice.
No Ownership in Listings
Users do not obtain ownership, control, or exclusive rights in any Listing submitted, created, or displayed through the Service. All Listings, including merged or standardized Listings, are part of Umato's structured dataset and platform infrastructure.
Attribution and Display
Umato is not obligated to preserve the original display format, structure, or attribution of a submitted Listing. Attribution for creation of a Listing may or may not be displayed at Umato's discretion.
Data Integrity Purpose
These processes are implemented to maintain data integrity, prevent fragmentation, improve recommendation accuracy, and enhance overall Service performance.
6. CONTENT STANDARDS AND MODERATION
Users agree that all Content submitted will:
- Truthfulness: Be truthful, accurate, and based on genuine experiences.
- Legal Compliance: Comply with applicable laws and regulations.
- Prohibited Content: Not contain deceptive, misleading, abusive, defamatory, harassing, or discriminatory material.
- Intellectual Property: Not infringe third-party intellectual property rights.
- Security: Not include viruses, malware, or harmful code.
Moderation Rights: Umato reserves the right, in its sole discretion, to remove, restrict, or modify Content that violates these Terms, poses a risk to Users or the Service, or for any reason deemed necessary to protect Umato or its Users.
No Verification: Umato does not verify the accuracy of User Content and assumes no responsibility for errors, omissions, or misrepresentations.
Platform Status: Umato acts solely as a platform for User Content and does not assume responsibility or liability for Content submitted by Users.
7. PUBLICLY AVAILABLE BUSINESS INFORMATION
The Service may include publicly accessible information about restaurants, menus, dishes, hours, locations, pricing, and other business data. Sources include:
- Publicly accessible websites, menus, or online materials;
- Third-party search engines, mapping services, or directories;
- User submissions, corrections, or feedback;
- Automated extraction, normalization, and processing by language models or algorithms.
Ownership Clarification: All transformations, normalizations, or compilations of publicly available information are proprietary to Umato. Inclusion of such information does not imply endorsement, sponsorship, or authorization by any business entity.
No Guarantee of Accuracy: Umato does not guarantee the accuracy, completeness, or timeliness of publicly available business information.
Correction Requests: Businesses may request corrections but Umato has no obligation to update or remove information.
No Liability for Errors: Any errors or omissions in business information shall not give rise to liability.
8. ACCEPTABLE USE
You agree not to:
- Unlawful Activity: Engage in unlawful, fraudulent, or malicious activity.
- False Content: Submit false, manipulated, or misleading reviews, ratings, or metadata.
- Harassment: Harass, threaten, or abuse Users or third parties.
- Service Interference: Interfere with or compromise the operation, security, or integrity of the Service.
- Manipulation: Attempt to manipulate recommendations, rankings, or algorithms.
- Impersonation: Impersonate individuals or misrepresent affiliations.
Automated Access and Data Extraction
Automated access, scraping, crawling, harvesting, or extraction of Content without prior written consent is strictly prohibited. Violations may result in termination of your Account and legal action.
Competitive Use Prohibited
You may not use the Service to:
- Develop, train, or improve competing datasets, models, or recommendation systems;
- Extract or aggregate data for commercial resale or redistribution;
- Benchmark, reverse engineer, or systematically analyze the Service for competitive purposes.
Enforcement: Umato may investigate violations and cooperate with law enforcement or regulatory authorities.
9. INTELLECTUAL PROPERTY AND PLATFORM RIGHTS
- Ownership: All rights, title, and interest in the Service, including software, algorithms, models, data structures, rankings, recommendations, and selection or presentation of Content, are owned by Umato or its licensors.
- Restrictions: Except as expressly permitted, you may not copy, distribute, modify, reverse engineer, or create derivative works from any part of the Service.
- Limited Rights: No rights are granted to Users except as expressly set forth in these Terms.
- No Rights in Derived Data: Users acquire no rights, licenses, or interests in any aggregated, anonymized, or derived data, whether or not such data is derived in part from User Content.
10. OWNERSHIP OF PLATFORM DATA AND DERIVED ASSETS
Umato owns all rights, title, and interest in:
- Aggregated and anonymized datasets generated from User Content and Service usage;
- Structured, normalized, or enriched representations of publicly available business information;
- Compilations, selections, arrangements, and classifications of data within the Service;
- Analytical outputs, insights, rankings, embeddings, feature vectors, and trained models;
- Any derivative works, datasets, or data products created by or for Umato;
- Structured entity definitions, canonical identifiers, and relational mappings within the Service.
These constitute proprietary intellectual property and may be used, licensed, sold, or transferred, including in connection with a merger, acquisition, or sale of assets.
Survivability: Umato's ownership rights in Derived Assets survive termination of these Terms and any User Account.
11. RECOMMENDATIONS AND DISCLAIMERS
- All recommendations, rankings, or visibility in the Service are informational only. They do not constitute endorsements, guarantees, or professional advice.
- Users are solely responsible for verifying ingredients, dietary restrictions, or food safety.
- The Service does not provide medical, nutritional, or health advice.
- No Reliance: Users agree not to rely on rankings or recommendations as the sole basis for decisions.
12. FUTURE BUSINESS OR COMMERCIAL FEATURES
Umato may introduce paid or commercial features for restaurants, brands, or other entities. Such features may be subject to additional terms, eligibility, or fees.
13. PAYMENTS AND PAID FEATURES
The Service is currently free. Any paid features will be clearly disclosed and governed by supplemental terms.
14. PRIVACY
Our collection and use of personal information are governed by our Privacy Policy. We comply with GDPR, CCPA, and other applicable privacy laws.
15. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. UMATO DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- UMATO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING DATA LOSS, BUSINESS INTERRUPTION, OR LOSS OF PROFITS.
- UMATO'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Umato, its affiliates, and personnel from any claims arising from:
- Service Use: Your use of the Service;
- User Content: Your Content or submissions;
- Terms Violations: Violations of these Terms;
- Unlawful Acts: Acts of misconduct, negligence, or unlawful activity;
- Intellectual Property Claims: Including claims alleging infringement, misappropriation, or violation of intellectual property or proprietary rights.
18. TERMINATION
- You may request deletion or deactivation of your Account at any time by contacting legal@umato.app, subject to verification and applicable legal obligations.
- Umato may suspend or terminate Accounts for violations, suspected abuse, or to protect the Service.
- Termination does not affect Umato's rights in Derived Assets or other intellectual property.
- Survival of Terms: Sections relating to intellectual property, licenses, ownership of Derived Assets, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
19. DISPUTE RESOLUTION AND ARBITRATION
- All disputes shall be resolved by binding arbitration, except for small claims court or intellectual property matters.
- Arbitration Rules: The arbitration shall be conducted by the American Arbitration Association under its Consumer Arbitration Rules.
- Location: Arbitration may be conducted remotely or, if in-person, in Cook County, Illinois.
- Users waive class actions and agree to bring disputes individually.
- Opt-out within 30 days by emailing legal@umato.app.
20. GOVERNING LAW
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.
21. CHANGES TO THESE TERMS
Material changes will be communicated via in-app notifications, email, or Service postings. Continued use constitutes acceptance.
22. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms shall remain in full force and effect.
23. ASSIGNMENT
Umato may assign, transfer, or otherwise convey these Terms, in whole or in part, without restriction or user consent, including in connection with a merger, acquisition, reorganization, corporate restructuring, sale of assets, or change of control.
You may not assign or transfer these Terms, in whole or in part, without Umato's prior written consent, and any attempted assignment in violation of this section shall be null and void.
